Terms of Service
Please read these Terms of Service carefully before utilizing the ZayanPay platform, software integrations, and merchant dashboard.
1. Acceptance of Terms
By creating a merchant account, accessing our APIs, or utilizing the ZayanPay payment automation suite, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Service ("Terms") along with our Privacy Policy, Refund Policy, and Acceptable Use Policy.
If you are registering on behalf of a company, partnership, or enterprise, you represent and warrant that you hold full legal authorization to bind that entity to these Terms.
2. Nature & Scope of Services
ZayanPay provides software-as-a-service (SaaS) payment automation tools. Our platform enables online merchants to:
- Connect their personal or business MFS accounts (bKash, Nagad, Rocket, Upay, Cellfin, etc.) to their eCommerce websites, WooCommerce stores, or custom applications.
- Verify customer payments in real-time via Android Companion synchronization or supported API integrations.
- Trigger instant order confirmation webhooks without manual human verification.
Clear Distinction: ZayanPay is a technological automation software provider. We are not a bank, escrow agent, or financial depository. Customer funds are transmitted directly between the buyer and your designated wallet. We charge 0% fee on your transaction volume.
3. Merchant Eligibility & KYC Verification
To register and maintain an active account, you must satisfy the following conditions:
- Be at least 18 years of age and legally competent to enter into binding contracts.
- Provide accurate, truthful, and verifiable personal identification, including valid National Identity Card (NID) photos.
- Operate a legitimate business complying strictly with Bangladesh commercial laws.
- Register using an authorized personal/business email from supported providers (@gmail.com, @yahoo.com, @outlook.com, or @icloud.com).
We reserve the right to suspend or terminate accounts that fail KYC verification, submit forged identity cards, or attempt identity obfuscation.
4. Subscription Plans & Billing
- Starter Trial: Eligible new merchants receive a free starter trial (0 BDT) with full feature access and a designated transaction limit to test platform capabilities.
- Subscription Renewals: Paid plans (Monthly, Yearly, Lifetime) provide continuous Android device connections, priority queueing, and elevated or unlimited transaction processing.
- Zero Commission: ZayanPay does not deduct per-transaction percentages. Your only platform cost is the transparent subscription tier chosen.
- Currency & Taxes: All platform subscription charges are denominated in Bangladeshi Taka (BDT) unless explicitly specified otherwise.
5. API Usage & Android Companion Rules
Merchants utilizing our REST APIs, plugins, and Android Companion must observe the following technical standards:
- Keep API Keys, Secret Keys, and webhook signatures strictly confidential. You bear sole responsibility for activities executed under your credentials.
- Refrain from abusive polling or rate-limit overloading our servers. Utilize webhooks for event-driven updates.
- Deploy the official Android Companion application only on secure, malware-free Android devices under your direct control.
6. Account Suspension & Termination
ZayanPay maintains zero tolerance for illicit conduct. We reserve the immediate right to suspend or terminate access without liability if:
- A merchant violates our Acceptable Use Policy (e.g., gambling, narcotics, fraud, unlicensed forex).
- Law enforcement or regulatory authorities issue a compliance directive against the account.
- A merchant attempts reverse engineering, vulnerability exploitation, or DDoS attacks against our infrastructure.
7. Limitation of Liability
To the fullest extent permitted by applicable law, ZayanPay and its operators shall not be liable for any indirect, incidental, special, or consequential damages resulting from:
- Downtime, maintenance, or service interruptions caused by third-party telecommunication networks, telecom SMS delays, or MFS provider maintenance windows.
- Unauthorized access resulting from merchant negligence in protecting passwords or API credentials.
- Loss of profits, business interruption, or commercial goodwill.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any legal action, suit, or dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Dhaka, Bangladesh.
9. Modifications to Terms
We reserve the right to update or modify these Terms as our platform evolves. Any material changes will be communicated via notice on our website or through your merchant dashboard. Continued use of the platform after updates constitutes your agreement to the modified terms.
